DO YOU KNOW THE VALUE OF YOUR BUSINESS?

IF YOU DON’T – YOU SHOULD.

We provide a comprehensive and fully documented business valuation that can be used for many purposes:

•    SELLING COMPANY AND E.S.O.Ps.  Don’t undersell the value of your business.  Without proper preparation and documentation you could potentially lose thousands of dollars. Our report provides the essential information which will validate the business' value for a potential sale or used as a basis for a future employee stock offering.
•    PARTNERSHIP BUYOUT AND SUCCESSION INSURANCE.  Establish the right value and avoid future potential issues with partners or their decedents.
•    REFINANCING.  Our valuations are relied upon by major lenders.
•    DIVORCE AND PRENUPTIALS.  Establishing the right value is an invaluable tool for marital dissolution distributions.
•    ESTATE PLANNING.  Understanding the value of your business will assist your attorney and financial advisors in developing the right strategy for your estate plan.
•    PERSONAL KNOWLEDGE.  Your business is one of your most valuable asset.  Doesn't it make sense to know the value of that asset?

OBTAINING A COMPREHENSIVE BUSINESS VALUATION IS A NECESSARY TOOL FOR EVERY BUSINESS OWNER

Business owners sometimes mistakenly seek a business valuation only when they are considering selling the business.  Their primary objective is to calculate an appropriate selling price.  The advantage of a business valuation extends far beyond just selling the business.  The valuation is an indispensable tool for financial, tax and strategic planning and can provide insights into future trends and help owners achieve long range objectives.

A valuation analyzes your company’s financial condition and gives you accurate information in a comprehensive report based on accepted standards of value (see below).  Establishing a value which can be supported involves several valuation methods, industry analysis and comparable sales.  We offer two types of valuations:

PRELIMINARY VALUE ANALYSIS - A limited scope valuation designed specifically for the “main street” type businesses.  The basis of this report is to determine discretionary earnings, since most “main street” businesses are bought and sold on a multiple of discretionary earnings.  This report considers historical  and current financial performance.  The following is a sampling of what the report will contain:

*Business description

*Industry overview

*Development of a SDCF multiple

*Financial statement reconstruction and forecasts

*Asset based business valuation results

*Appraiser's statement of accreditation

The second type of valuation is the FORMAL VALUATION will provide a detailed review of all aspects of the business and follows the Uniform Standards of Professional Appraisal Practice (USPAP) as promulgated by the Appraisal Foundation.  The appraisal also follows the requirements of a valuation engagement, as that term is defined in the American Institute of Certified Public Accountants, Statement on Standards for Valuation Services No. 1 (SSVS No. 1).

*Sources of information

*Business description

*Industry overview

*Business valuation approaches and methods

*Asset based business valuation results

*Income based business valuation results

*Conclusion of business values

*Selling considerations

*Business price justification

*Statement of limiting conditions

*Appraiser's statement of accreditation
